IPO Learning Hub

Plain-English explainers for GMP, SME risks, listing gains, allotment, and how to read an RHP — written for first-time applicants.

What GMP means

Grey Market Premium (GMP) is an unofficial premium over the IPO issue price quoted in the unregulated grey market before listing. A positive GMP suggests some traders expect the stock to list above the issue price; a weak or negative GMP suggests the opposite.

GMP can reverse overnight on news, subscription data, or broader market moves. Kostak and “subject to sauda” deals are related grey-market contracts — also unofficial. EnrichReturns may display GMP for context, but it is never a guarantee of listing performance and is not investment advice.

SME IPO risks

SME IPOs list on SME platforms (such as NSE SME / BSE SME) rather than the main board. Lot sizes often block more capital than a typical mainboard retail lot, post-listing volumes can be thin, and price swings can be sharp.

Disclosure depth and analyst coverage are often lighter than for large mainboard issuers. Only use money you can keep illiquid after listing, read the RHP carefully, and compare with our Mainboard vs SME guide before applying.

Listing gains

Listing gain (or loss) is simply listing price minus issue price, usually expressed per share or on your allotted quantity. Many applicants focus on day-one pops; longer-term returns depend on business quality, valuation, and how the stock trades after listing.

Use the IPO Profit and GMP calculators to scenario-plan — then haircut optimistic GMP assumptions. Capital remains blocked until allotment or refund, which has an opportunity cost even if you are not allotted.

Allotment process

When a retail category is oversubscribed, exchanges typically use a lottery for minimum lots rather than giving every applicant a proportional slice. Applying for more lots does not always raise retail odds in a linear way.

Keep PAN and application details ready, note the allotment date from the IPO timeline, and check status on the registrar site (and your broker). Refunds follow mandate release timelines that vary by bank. Our allotment probability tool is illustrative only — official rules and the registrar decide the outcome.

How to read an RHP before you apply

The Red Herring Prospectus (and earlier DRHP) is the primary disclosure document. Skim the risk factors, use of proceeds, financial summary, promoter background, and outstanding litigations. Grey-market chatter is not a substitute for the RHP.

If you cannot explain why the company is raising money and what could go wrong, you are not ready to block capital for the issue.
